By accessing and using Novalistic.ai's services ("Services"), you ("Customer," "you," or "your") accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must immediately discontinue use of our Services. These Terms constitute a legally binding agreement between you and Novalistic.ai.
Novalistic.ai provides AI-powered chatbot and automation solutions. We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time without prior notice. We are not liable for any modification, suspension, or discontinuation of Services.
You are solely responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must immediately notify us of any unauthorized access. We are not liable for any loss or damage arising from your failure to protect your account information.

All fees are due in advance and are non-refundable except as required by law. You authorize us to charge your payment method automatically. We reserve the right to change pricing with 30 days' notice. Failure to pay may result in service suspension or termination. You remain liable for all unpaid fees.
You retain ownership of your data. However, you grant us a worldwide, non-exclusive, royalty-free license to use, process, and analyze your data solely for providing, maintaining, and improving our Services. We may use aggregated, anonymized data for analytics and service enhancement.
While we strive for high availability, we do NOT guarantee uninterrupted or error-free service. We are not liable for any downtime, data loss, or service interruptions. Support is provided on a best-effort basis and varies by plan tier.
All intellectual property in our Services, including software, algorithms, documentation, trademarks, and trade secrets, remains our exclusive property. Your license is limited, non-exclusive, non-transferable, and terminates upon breach of these Terms.
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT SERVICES WILL MEET YOUR REQUIREMENTS OR BE ERROR-FREE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOVALISTIC.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless Novalistic.ai, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of Services, violation of these Terms, or infringement of any third-party rights.
Our AI systems may produce inaccurate, incomplete, or inappropriate responses. You are solely responsible for reviewing and monitoring all AI-generated content. We are not liable for any consequences resulting from AI responses or decisions made based on our Services.
We are not responsible for third-party services, platforms, or integrations. Your use of third-party services is subject to their terms and policies. We disclaim all liability for third-party actions or failures.
Either party may terminate this agreement at any time. We may immediately suspend or terminate your access for any reason, including suspected violation of these Terms. Upon termination, all licenses end, and you must cease using our Services. Fees are non-refundable upon termination.
Upon termination, we may delete your data after 30 days. It is your responsibility to export data before termination. We are not obligated to maintain or provide your data after termination.
We reserve the right to modify these Terms at any time. Changes are effective immediately upon posting. Your continued use constitutes acceptance of modified Terms. If you disagree with changes, you must terminate your account.
These Terms are governed by the laws of the State of North Carolina, United States, without regard to conflict of law principles. Any disputes must be resolved exclusively in the courts of Wake County, North Carolina. You waive any objection to venue or jurisdiction.
Any dispute shall be resolved through binding arbitration in accordance with the American Arbitration Association rules. You waive your right to jury trial and class action participation. Arbitration decisions are final and binding.
We are not liable for any failure or delay caused by circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, government actions, or infrastructure failures.
If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. Unenforceable provisions shall be modified to reflect the parties' intent.
These Terms constitute the entire agreement between you and Novalistic.ai, superseding all prior agreements and understandings.
